By accessing or using Venturis ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

Venturis provides a venture intelligence platform that helps founders, investors, operators and advisors evaluate venture concepts through structured analysis, market sizing, risk assessment, and related outputs.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and notify us immediately of any unauthorized access.

4. Subscriptions and Payment

• Paid plans are billed in advance on a recurring basis (monthly or annual).
• Fees are non-refundable except where required by law.
• You may cancel at any time; access continues until the end of the billing period.
• We may change pricing with at least 30 days' notice.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose
• Attempt to reverse engineer, scrape, or disrupt the Service
• Submit content that infringes third-party rights or violates applicable laws
• Resell, sublicense, or redistribute outputs without authorization
• Use the Service to build a competing product

6. Your Content

You retain all rights to the venture concepts, ideas, and content you submit. You grant us a limited license to process this content solely to provide and improve the Service. You are responsible for ensuring you have the right to submit such content.

7. Generated Outputs

Outputs generated by the Service (analyses, briefs, projections, pitch decks) are provided for informational purposes only. They are not legal, financial, tax, or investment advice. You are solely responsible for decisions made based on these outputs.

8. Intellectual Property

The Service, including its software, design, branding, and underlying methodology, is owned by Venturis and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs will be accurate, complete, or suitable for any specific purpose.

10. Limitation of Liability

To the maximum extent permitted by law, Venturis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access at any time for breach of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Venturis operates, without regard to conflict of law principles.
